Dell 2970 Ubuntu Linux 14.04 LTS 32 Bit CPU core count wrong.

Hello, I'm running two 6 core 2435's in a 2970 with bios ver.4.2.1.

I am bound by 3rd party software to run a 32bit kernel in case somebody needs to ask why I'm not using a 64 Bit Kernel.

I can run: ' lshw -class processor ' and I see the correct core count and cpu information.

If I run 'cat  /proc/cpuinfo' it outputs a core info saying that there's only 8 cores. ' lscpu ' output says the same thing.

As I understand things, lshw displays what the server BIOS says is there. 

cat /proc/cpuinfo is more an output of what the kernel has detected.

Are there any DELL / LINUX SME's on this forum that could clue me in as to why I'm not seeing all of my cpu's?
