CPU Upgrade on PowerEdge R620

Hello PowerEdgers! I'm looking to upgrade the CPU on my lab server from E5-2640 to E5-2697 v2 (BIOS 2.7.0) Can this be done? Do I need to worry about RAM being different when swapping CPU? Can I use the same heatsinks? 

I'm looking at this: https://www.ebay.com/itm/203967941344

but it says 51mm x 52.5mm (not standard 52.5mm x 45mm) do they fit? any guidance appreciated thanks!

for heatsink there is a part for 130W but might be it doesn't make any difference due to it's a passive block. I would expect mostlike fans spin more than former CPU.
