Can not activate NIC's
We have 3 PowerEdge 520's that we can't enable the nics on when we install Linux, we pout server 2012 on when for troubleshooting purposes and the nic's still wont enable.
No Events found!

If hardware is not detected in the OS then I would suggest checking to see if it is disabled in the system BIOS. If the NIC/LOM is detected but showing that it is not connected to a network device then I would suggest checking the cable and attached network device to make sure they are compatible, functional, and correctly configured.

the 2 onboard nic's are showing up the other 2 10g have a yellow bang in device manager

If the device is listed as having an issue in device manager then the issue is typically related to the driver. You can look at the properties within device manager to check for additional information about the issue. I would suggest installing the appropriate driver for the device. The system may also have issues installing a driver for a device that is faulty or incompatible.

what is the next step if the driver wont install? I have tried updating the driver and it keeps saying the driver on there latest one.

According to the order the part number is XYT17. The slot priority for that NIC is 4, 3, 2. Make sure it is in one of those slots, preferably slot 4 if it is available.
This message indicates a hardware problem. The operating system is able to get enough information from the device to list information about it, but it is unable to communicate with it. This typically implies a firmware or OS compatibility issue. I would suggest updating the firmware:

A certain level of functionality is required to update the firmware. If you are unable to update the firmware then the card will likely need to be replaced. A device may encounter firmware initialization issues due to other devices in the system. Before replacing the controller I would remove all unnecessary devices from the system to see if the status changes.
